Introduction

Hill Securities LLC ("Hill Securities," "we," "us," or "our") is registered with the U.S. Securities and Exchange Commission as a broker-dealer and is a member of the Financial Industry Regulatory Authority (FINRA) and the Securities Investor Protection Corporation (SIPC). We are not an investment adviser. Brokerage and investment advisory services and fees differ, and it is important for you to understand these differences. What investment services and advice can you provide me?

We act as placement agent for private offerings of securities that are sponsored, managed, or advised by our affiliates, Hill Capital LLC and Hill Capital GP LLC. We introduce eligible investors to these offerings and may recommend that you purchase an interest in one. Our brokerage services to retail investors are limited to recommending and facilitating the purchase of privately offered, unregistered securities, such as interests in private funds or private companies. We do not offer publicly traded securities.

We do not carry or hold customer accounts, we do not take custody of your cash or securities, and we have no clearing arrangement. We do not monitor your investment after you purchase it. You make the final decision whether to invest, and each issuer decides whether to accept your investment.

Our offerings are limited. We present only offerings sponsored or managed by our affiliates; we do not offer unaffiliated or third-party investments. Most of these investments are available only to investors who meet eligibility standards, such as "accredited investor" status, a minimum net worth or income, or a minimum investment amount. Other firms may offer investments that are not available through us.

Questions to ask us "Given my financial situation, should I choose a brokerage service? Why or why not? How will you choose investments to recommend to me? What is your relevant experience, including your licenses, education and other qualifications? What do these qualifications mean?"

What fees will I pay?

We are compensated through transaction-based fees. When you invest in an offering we place, we receive a placement fee or commission based on the amount of capital you invest. In some cases this fee is paid by the issuer and does not increase the amount you invest. In other cases a fee or sales charge is added to your investment and increases your cost. The specific compensation for any offering is disclosed in that offering's documents, such as a private placement memorandum or subscription agreement, before you invest.

Because our compensation is transaction-based, the more transactions you enter into, the more we are paid. This gives us an incentive to encourage you to invest.

Separately, the private funds and issuers you invest in charge their own entity-level fees, such as management fees and performance-based compensation (often called "carried interest"). These fees are paid to our affiliate that sponsors or manages the offering, not to us. They are described in each offering's documents.

You will pay fees and costs whether you make or lose money on your investments. Fees and costs will reduce any amount of money you make on your investments over time. Please make sure you understand what fees and costs you are paying.

A question to ask us "Help me understand how these fees and costs might affect my investments. If I give you $10,000 to invest, how much will go to fees and costs, and how much will be invested for me?"

What are your legal obligations to me when providing recommendations? How else does your firm make money and what conflicts of interest do you have?

When we provide you with a recommendation, we have to act in your best interest and not put our interest ahead of yours, consistent with Regulation Best Interest. At the same time, the way we make money creates some conflicts with your interests. You should understand and ask us about these conflicts because they can affect the recommendations we provide you. For example:

  • Affiliated offerings. The offerings we place are sponsored or managed by our affiliates, Hill Capital LLC and Hill Capital GP LLC. We receive a placement fee or commission when you invest, and our affiliates separately earn management fees and carried interest on your investment. Because we and these issuers are under common ownership, we have a strong financial incentive to recommend these offerings to you. This is a significant conflict of interest.
  • Transaction-based pay. We are paid only if you invest, and we are paid whether your investment gains or loses value. We have an incentive to recommend that you invest and to recommend offerings that pay us more.

How do your financial professionals make money?

Our financial professionals are compensated based on the placement fees and commissions generated from the offerings they place. Because their pay is tied to completed transactions, they have an incentive to encourage you to invest and to favor offerings that pay more.

Do you or your financial professionals have legal or disciplinary history?
